1. About these Terms

These Terms of Service (the “Terms”) govern access to and use of the MODLANE closed-beta website and AI workspace at modlane.app (the “Service”).

MODLANE is currently an early-stage, non-commercial project operated by Aleksandr Boiko in Ireland. MODLANE is not yet operated through a registered company or other separate legal entity.

By selecting the acceptance checkbox, creating an account or continuing to use the Service after being presented with these Terms, you enter into a binding agreement with Aleksandr Boiko as the current operator of MODLANE. If you do not agree, do not create an account or use the Service.

The Privacy Policy explains how personal data is processed. The Cookie Policy explains the use of cookies, localStorage and analytics technologies. Accepting these Terms is separate from any consent requested for optional analytics cookies.

2. Eligibility and closed-beta access

  • You must be at least 18 years old and legally capable of entering into a contract.
  • The Service is invitation-only during the closed beta. An invitation, registration or Limited account does not guarantee Full access or continued participation.
  • Invitations and accounts are personal and may not be sold, transferred or shared.
  • You may use the Service only where its use is lawful. You are responsible for complying with laws that apply to you and to the content you submit.
  • MODLANE may apply reasonable request, token, file-size, usage or access limits to protect the beta, manage costs and maintain service quality.

3. Accounts and security

  • Provide accurate registration information and keep your email address current.
  • Keep your password and access credentials confidential. Do not allow another person to use your account.
  • Notify MODLANE promptly at office@modlane.app if you suspect unauthorised access, account compromise or a security issue.
  • Do not create multiple accounts to evade access restrictions, usage limits, suspension or enforcement action.

You are responsible for activity carried out through your account unless it results from a failure by MODLANE to use reasonable care and skill or from another matter for which responsibility cannot lawfully be excluded.

4. How the Service works

MODLANE is an AI workspace that analyses a user request, may improve or structure the request, and automatically selects one or more third-party AI providers for the task.

  • Current providers may include OpenAI, Anthropic and DeepSeek.
  • The selected provider may not be displayed to the user.
  • Different providers may be used for separate parts of one workflow.
  • Ordinary text and necessary conversation context may be used for initial classification. Uploaded files and images are not intentionally sent to DeepSeek under the current configuration.
  • Files may be temporarily converted into text so that an AI provider can process them. Current technical and retention details are described in the Privacy Policy.

MODLANE does not currently train its own AI model using user prompts or AI responses.

5. AI transparency and limitations

You are interacting with an AI-enabled system. AI responses are generated automatically and may be incomplete, inaccurate, outdated, biased, misleading, offensive or unsuitable for your purpose.

  • Always review important information and verify it using reliable independent sources.
  • Do not treat an AI response as a statement of fact merely because it is expressed confidently.
  • Do not rely on the Service as the sole basis for medical, legal, financial, tax, employment, credit, insurance, housing, education-admission, public-benefit or other high-impact decisions.
  • The Service is not an emergency service and must not be used where delay or error could create an immediate risk to life, health, safety, property or legal rights.
  • Where professional judgement is required, consult an appropriately qualified human professional.

MODLANE does not intentionally use automated processing to make decisions about users that produce legal or similarly significant effects.

6. Your content and uploaded materials

“User Content” means prompts, messages, instructions, files, images, feedback and other material that you submit to the Service.

You retain any rights you already hold in your User Content. You grant MODLANE a non-exclusive, worldwide, royalty-free and limited licence to host, reproduce, transmit, format, convert and process User Content only as reasonably necessary to provide, secure, maintain and support the Service, including through authorised infrastructure and AI providers.

You confirm that you have the rights, permissions and lawful basis needed to submit User Content and to authorise this processing. This includes personal data or confidential information relating to another person or organisation.

  • Do not submit passwords, API keys, authentication tokens, payment-card details, private keys or other security credentials.
  • Do not submit trade secrets or confidential information unless you are authorised to disclose it to MODLANE and the relevant third-party service providers and you have assessed the risks.
  • Do not submit unlawful material, personal data obtained without authority or content that infringes privacy, confidentiality, intellectual-property or other rights.

Local chat history may be stored only in your browser. You are responsible for keeping separate copies of information that is important to you because browser data can be lost when site data is cleared, a device changes or a beta feature is modified.

7. AI outputs and intellectual-property position

Subject to applicable law and third-party provider terms, MODLANE does not claim ownership of AI output generated specifically in response to your request. To the extent MODLANE acquires any transferable rights in such output, MODLANE grants those rights to you.

  • AI output may not be unique. Other users may receive similar or identical content.
  • AI-generated material may not qualify for copyright or other intellectual-property protection in every jurisdiction.
  • Output may reproduce, resemble or conflict with third-party material. You must review it before publication, commercial use or reliance.
  • You are responsible for ensuring that your use of output is lawful, does not mislead others and includes AI disclosure or attribution where required.

8. Acceptable use

You must not use the Service, attempt to use the Service or help another person use the Service to:

  • break the law, facilitate fraud, deceive, impersonate, harass, exploit or cause harm;
  • generate or distribute malware, phishing content, credential-stealing tools, malicious code or instructions for unauthorised access;
  • attack, probe, disrupt, overload or bypass the security, authentication, rate limits or access controls of MODLANE or another service;
  • create, distribute or facilitate content involving child sexual abuse, sexual exploitation, human trafficking or non-consensual intimate material;
  • make or support unlawful discrimination or fully automated high-impact decisions about identifiable people;
  • infringe intellectual-property, privacy, confidentiality, publicity or contractual rights;
  • submit personal data without authority or attempt to identify, track or profile a person unlawfully;
  • misrepresent AI output as verified professional advice, authentic evidence or human-created content where that representation would be misleading or unlawful;
  • scrape, systematically extract, resell, sublicense or provide automated third-party access to the Service without written permission;
  • reverse engineer, decompile or attempt to discover non-public source code, system prompts, routing logic or security mechanisms, except to the limited extent that applicable law expressly permits.

MODLANE may block a request, restrict a feature or take proportionate action when reasonably necessary to enforce these rules, comply with law or provider requirements, or protect users and systems.

9. Third-party services

The Service depends on third-party AI, hosting, authentication, analytics, email and file-processing providers. Their availability, policies, safety systems, pricing, technical limits and output behaviour may change.

MODLANE may replace, add, remove or reconfigure a provider where reasonably necessary for security, privacy, continuity, capability, cost or legal compliance. Material changes affecting personal-data processing will be reflected in the Privacy Policy or another appropriate notice.

Third-party links or services are not controlled by MODLANE. Their separate terms and privacy practices apply when you access them directly.

10. MODLANE intellectual property

The Service, including its software, interface, design, brand, documentation, routing logic, system instructions and other project materials, is owned by or licensed to Aleksandr Boiko and/or other MODLANE project contributors.

These Terms grant you a limited, personal, revocable, non-exclusive and non-transferable right to access the Service during the closed beta. No other licence or ownership right is granted.

You may not use the MODLANE name, logo or branding in a way that suggests sponsorship, endorsement, partnership or ownership without written permission.

11. Feedback

Feedback is voluntary. If you send suggestions, ideas or error reports, you grant MODLANE a worldwide, perpetual, irrevocable, non-exclusive and royalty-free licence to use, adapt and incorporate the feedback for developing and operating the Service, without an obligation to compensate you.

This feedback licence does not transfer ownership of unrelated User Content and does not override the Privacy Policy.

12. Privacy, cookies and data controls

Personal data is handled as described in the MODLANE Privacy Policy. Cookies, localStorage and optional PostHog analytics are described in the Cookie Policy.

  • Optional analytics must remain off unless you give a separate affirmative consent.
  • Rejecting analytics does not prevent access to the core Service.
  • You may change analytics preferences through Cookie Settings.
  • You may delete your account, clear local chat history and make privacy-rights requests through the controls described in the Service and Privacy Policy.

MODLANE records the Terms version and time of acceptance. Acknowledgement of the Privacy Policy is not consent to optional analytics.

13. Fees and future paid services

The current closed beta is provided without a user subscription fee. MODLANE will not charge you merely because you accepted these Terms.

If paid plans, purchases or automatic renewals are introduced, MODLANE will present the price, billing period, cancellation terms and any additional conditions before charging you. No paid subscription will begin without a separate clear action or agreement.

14. Beta availability, changes and data loss

The Service is experimental and under active development. Features may be incomplete, changed, limited, interrupted or removed. MODLANE may conduct maintenance, correct defects, alter usage limits or end the beta.

MODLANE will use reasonable care and skill in operating the Service but does not guarantee uninterrupted availability, compatibility with every device, preservation of locally stored chats or that every request will produce an answer.

Where reasonably practicable, MODLANE will provide notice of a material change or planned closure. Immediate action may be taken for security, legal, provider or operational reasons.

15. Suspension and termination

You may stop using the Service and delete your account at any time.

MODLANE may suspend, restrict or terminate access where reasonably necessary because of:

  • a material or repeated breach of these Terms;
  • security risk, suspected compromise, abuse or harm;
  • a legal, regulatory or third-party provider requirement;
  • attempts to evade limits or enforcement;
  • discontinuation or substantial restructuring of the closed beta.

Where it is reasonably practicable and would not create a security, legal or safety risk, MODLANE will provide notice and an opportunity to address the issue before permanent termination.

Clauses concerning intellectual property, User Content already processed, confidentiality, liability, disputes and any other provisions intended by their nature to survive will continue after termination.

16. Warranties and responsibility

Nothing in these Terms excludes any guarantee, remedy or statutory right that cannot lawfully be excluded, including mandatory consumer rights.

Subject to those rights, the Service is a free closed beta and is provided for general assistance and experimentation. MODLANE does not promise that AI output will be accurate, complete, original, lawful for every use or suitable for a particular purpose.

You remain responsible for your User Content, your instructions, your decisions and how you use or distribute AI output.

17. Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, wilful misconduct, or any liability that cannot lawfully be excluded or limited.

If you are a consumer, MODLANE is responsible for loss or damage that is a reasonably foreseeable result of a breach of these Terms or a failure to use reasonable care and skill. MODLANE is not responsible for loss that was not reasonably foreseeable, for business losses suffered by a consumer, or for loss caused by your unlawful use, failure to verify AI output, unauthorised disclosure of information or failure to follow clear warnings, except where applicable law provides otherwise.

If you use the Service wholly or mainly for business purposes, then, to the maximum extent permitted by law: MODLANE is not liable for indirect or consequential loss, loss of profit, revenue, business, contracts, goodwill, anticipated savings or data; and MODLANE’s total aggregate liability arising from the Service is limited to the greater of EUR 100 and the amount you paid to MODLANE for the Service during the 12 months before the event giving rise to the claim.

MODLANE is not responsible for an outage or failure caused solely by circumstances outside its reasonable control, but this does not remove any responsibility that applicable law places on MODLANE.

18. Changes to these Terms

MODLANE may update these Terms to reflect changes to the Service, providers, security, law or the structure of the project.

Material changes will be presented through the Service or sent to the account email with a new effective date. Where renewed acceptance is reasonably required, continued access may depend on accepting the updated Terms.

If you do not agree to an updated version, you must stop using the Service and may delete your account.

19. Transfer to a future company

MODLANE may later be operated by a company or another legal entity. Aleksandr Boiko may transfer these Terms and the operation of the Service to that successor on notice, provided the transfer does not remove mandatory user rights and the successor assumes the relevant obligations.

You may not transfer your account or rights under these Terms to another person without written permission.

20. Governing law and disputes

These Terms and non-contractual obligations arising from them are governed by the laws of Ireland.

Before starting formal proceedings, you and MODLANE should first attempt to resolve the matter by contacting office@modlane.app and providing a reasonable description of the issue and the requested outcome.

If you are a consumer, this governing-law clause does not deprive you of mandatory protections provided by the law of your country of habitual residence, and you may bring proceedings in any court that has jurisdiction under applicable consumer law. In other cases, the courts of Ireland have exclusive jurisdiction.

21. General terms

  • Entire agreement: these Terms and any service rules expressly incorporated into them form the agreement governing use of the Service. The Privacy Policy and Cookie Policy explain data practices and do not reduce mandatory rights.
  • Order of documents: these Terms govern use of the Service; the Privacy Policy governs personal-data processing; and the Cookie Policy governs browser-storage technologies. Mandatory law prevails over any inconsistent wording.
  • Severability: if a provision is invalid or unenforceable, it will be limited or removed only to the extent necessary and the remaining provisions will continue.
  • No waiver: failure to enforce a provision immediately is not a waiver of the right to enforce it later.
  • No partnership or agency: these Terms do not create employment, partnership, joint venture or agency between you and MODLANE.
  • Notices: MODLANE may provide notices through the Service or the email associated with your account.
